SOLDSEAT LLC
Host (Organizer) Agreement
Version 2026-10-16
Launch pricing: 0% platform fee
Parties and role
This Host (Organizer) Agreement is between SoldSeat LLC, a Pennsylvania single-member limited liability company (“SoldSeat”), and the organization that accepts it (“Host”). The person who types their name is signing for the Host and, if they agree to the personal guarantee, for themselves. SoldSeat provides software that lists events and collects ticket payments. SoldSeat is a technology platform and a limited payment collection agent only. SoldSeat is the merchant of record for the card charge through Stripe so the payment can settle. SoldSeat is not the organizer, promoter, venue, insurer, or employer of the event.
The host is the organizer and the seller
The Host is the sole organizer and the seller of each event it lists. The Host is solely responsible for the event, including whether it happens, who performs, who is admitted, and what the buyer experiences. SoldSeat does not produce the event and does not promise attendance or that the event will go as the Host planned.
What the host is responsible for
The Host is solely responsible for the venue, permits, licenses, insurance, safety, alcohol service, accessibility, taxes (including amusement tax and any sales or admission tax), performer rights and music licensing, the accuracy of the listing, and refunds and cancellations. The Host will not list an event it has no right to hold. The Host will admit people who hold a valid ticket, except where safety, capacity, or the buyer’s breach of the buyer terms requires refusal.
Permits, alcohol, accessibility, and safety
The Host will obtain every permit and license the event needs before tickets are scanned, including any license to serve alcohol. The Host will comply with occupancy, fire, accessibility, and public-health rules. The Host will not ask SoldSeat to decide those questions.
Taxes
Ticket face value is the Host’s revenue, except for the platform fee SoldSeat keeps. The Host is responsible for amusement tax, sales tax, admission tax, and income tax on its proceeds. SoldSeat does not withhold those taxes unless the law later requires a payment agent to do so. The Host will tell SoldSeat if a tax registration number must appear on a receipt.
Listings, performers, and music
The Host is responsible for the accuracy of the title, time, place, age rule, and what a ticket includes. The Host has the rights it needs from performers, venues, photographers, and music licensors (including public-performance licenses). A claim that a listing or a performance infringed someone’s rights is the Host’s claim to defend.
Refunds and cancellations
Refunds follow the refund policy the Host posts. SoldSeat facilitates refunds and may refund or reverse a payment to cover a cancellation, a chargeback, a duplicate charge, or a legal requirement. The buyer receives the amount SoldSeat refunds. The platform fee on a refunded order is reversed and is not kept. Card processing is usually not returned by the card network, so it stays a cost to the Host. If SoldSeat already paid that net, the Host owes it back.
Platform fee
Launch pricing: 0% platform fee. your organization (the organization named in the acceptance) agrees that SoldSeat keeps a platform fee of 0% of ticket face value on each paid order. The buyer pays the face price only. The platform fee and card processing both come out of the proceeds. Example (for illustrative purposes only). On a $25.00 ticket at 0%, the buyer pays $25.00, SoldSeat keeps $0.00, card processing is about $1.03, and your organization (the organization named in the acceptance) receives $23.97. Actual ticket prices are set by the host for each event; the platform fee and card processing are calculated on the actual price. A different rate applies only when it is the rate in the accepted agreement.
Launch pricing and later fees
Launch pricing: 0% platform fee. During launch, SoldSeat keeps no platform fee. The Host pays only card processing, about 2.9% plus $0.30 of each charge, deducted from the payout. Example (for illustrative purposes only). On a $25.00 ticket at a 0% platform fee, the buyer pays $25.00, SoldSeat keeps $0.00, card processing is about $1.03, and the Host receives about $23.97. Actual ticket prices are set by the Host for each event. SoldSeat may later introduce a platform fee between 5% and 9% per ticket. That fee applies only to events created after at least 30 days’ email notice to the payout contact and the person who accepted this agreement. Founding hosts may receive a lower rate at SoldSeat’s discretion. A custom rate applies only when it is the rate in the accepted agreement. Orders already paid keep the fee stored on the order. Card processing, refunds, chargebacks, a $15 card-dispute fee, and any reserve remain the Host’s responsibility. Card processing is usually not returned by the card network.
Limited payment agent
Buyer funds settle to SoldSeat, not to the Host. SoldSeat holds those funds as a limited payment collection agent for the purpose of paying the Host the net proceeds, after fees, refunds, chargebacks, dispute fees, fines, and reserves. This agency is limited to collecting and settling ticket money. It does not make SoldSeat the organizer, and it does not create a partnership, joint venture, or employment relationship.
Payouts, reserves, and offsets
SoldSeat releases a payout a configurable number of business days after the event end. The default is 5 business days. Weekends are not business days. SoldSeat may hold a reserve percentage of host net for 30 to 60 days. The reserve percent and the hold length are set by SoldSeat and shown in the owner payout settings. The default reserve is zero until SoldSeat sets one. SoldSeat may offset refunds, chargebacks, card-network dispute fees, fines, and a negative balance against any current or future payout. If the offsets exceed what SoldSeat owes the Host, the difference is a negative balance the Host must pay. SoldSeat may invoice that balance. Nothing in the product transfers money automatically. A payout marked paid is the record that SoldSeat sent it.
Removal, holds, and recovery
SoldSeat may remove or suspend an event, freeze a host, hold a payout, withhold a payout, keep a reserve, or refuse a listing, with or without notice, if SoldSeat believes the listing is inaccurate, prohibited, unsafe, or likely to produce refunds or chargebacks. SoldSeat may recover refunds, chargebacks, dispute fees, and fines from future payouts or by invoice.
Personal guarantee
If the person accepting this agreement is an individual, or checks the personal guarantee, that person guarantees payment of the Host’s negative balance, refunds, chargebacks, dispute fees, and indemnity obligations. SoldSeat may require that guarantee before a payout. The guarantee continues until those amounts are paid.
Host representations
The Host represents that the information in the account and in know-your-customer is true, that the signer has authority to bind the Host, that the Host will keep its listing accurate, and that each event complies with the Prohibited Events and Acceptable Use policy. These statements are continuing.
Prohibited events
The Host will not list a prohibited event, as described in the Prohibited Events and Acceptable Use policy. SoldSeat may remove a prohibited event and keep fees already earned on tickets SoldSeat must refund.
Indemnity and defense
The Host will defend, indemnify, and hold harmless SoldSeat and its member, contractors, and payment partners from any claim, loss, damage, fine, or expense (including reasonable attorneys’ fees) arising out of the event, the venue, permits, alcohol, accessibility, taxes, music or performer rights, a listing that is wrong, a refund or cancellation, a chargeback, a prohibited event, or a breach of this agreement. The Host’s duty to defend starts when SoldSeat gives notice of the claim. It does not apply to a loss caused only by SoldSeat failing to take the payment or scan the ticket as this platform describes.
Disclaimer of warranties
The platform is provided as is and as available. SoldSeat disclaims warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted or error-free, except for a warranty that cannot be disclaimed under Pennsylvania law.
Limitation of liability
To the fullest extent the law allows, SoldSeat’s total liability to a Host is limited to the platform fees SoldSeat actually earned from that Host in the twelve months before the claim. SoldSeat is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or the cost of a cancelled event. These limits apply even if SoldSeat was told the loss was possible.
No agency, partnership, or employment
Except for the limited payment-collection agency in this agreement, the Host and SoldSeat are independent. Nothing here creates a partnership, joint venture, franchise, or employment relationship. The Host’s staff are not SoldSeat’s employees. The Host has no authority to bind SoldSeat.
Know your customer
Before an event goes live and before a payout, the Host will provide the legal name, date of birth, address, and phone of the responsible person, and a payout method. The Host consents to identity verification. If Stripe Identity is enabled, the Host will complete it. If it is not enabled, the Host’s attestation is the record until SoldSeat’s owner marks the host verified. SoldSeat may refuse to go live or to pay until this is done.
Buyer data
SoldSeat shares buyer name, email, optional phone, and ticket status with the Host only for that event: admission, safety, and refunds. The Host will not sell that information or use it for unrelated marketing. The Host will protect it and delete it when the event and any refund window are over, unless the law requires a longer keep.
Insurance
SoldSeat recommends that the Host carry commercial general liability insurance, and liquor liability insurance if alcohol is served, and name SoldSeat LLC as an additional insured when the venue or a contract requires it. Recommended coverage is not a statement that SoldSeat insures the event.
Termination
Either party may stop using the platform for future events. SoldSeat may suspend the Host immediately for a prohibited event, fraud, or a failure to cover refunds. Termination does not erase a ticket already sold. The Host remains responsible for events already listed.
Survival
Payment, refunds, offsets, reserves, indemnity, limitation of liability, buyer-data limits, the personal guarantee, and the dispute terms survive termination.
Force majeure
SoldSeat is not liable for a delay caused by a payment network, a hosting provider, a natural disaster, a government order, or another cause beyond its reasonable control. A force majeure event does not excuse the Host from refunding buyers if the Host’s own event cannot be held, except to the extent the Host’s posted policy says otherwise and the law allows that policy.
Assignment
The Host may not assign this agreement without SoldSeat’s written consent. SoldSeat may assign it to a successor of the business. A change of the Host’s owner, or a transfer of the event to someone else, requires a new acceptance.
Notices
Notices under this agreement may be sent by email to the address on the account and to the payout contact. The Host will keep those addresses current. A notice is received when the email is sent, unless SoldSeat learns it bounced.
Electronic signature
The Host agrees that a checkbox plus the signer’s typed full legal name is an electronic signature under the federal E-SIGN Act and the Pennsylvania Uniform Electronic Transactions Act (UETA). SoldSeat will keep the version, the time, the IP address, and the user agent of the acceptance, and will email a copy of the signed agreement. If email is not configured, that copy stays in SoldSeat’s mail queue until it can be sent.
Entire agreement and severability
This agreement, the buyer terms, the refund policy, the privacy policy, and the acceptable-use policy are the entire agreement about the platform. They replace earlier host fee summaries. If a court or arbitrator holds one sentence unenforceable, the rest stays in effect. A failure to enforce a term once is not a waiver.
Governing law and arbitration
Pennsylvania law governs this agreement, without its conflict-of-law rules. Except for a claim that qualifies for small claims court, the Host and SoldSeat agree to binding individual arbitration administered by the American Arbitration Association. The arbitration will be seated in Dauphin County, Pennsylvania. The Host and SoldSeat waive any right to a class action, a class arbitration, or a representative action. A court in Dauphin County, Pennsylvania may enter judgment on the award and may hear a small claim that stays in small claims court. The Host may opt out of arbitration only by emailing support within 30 days after acceptance, and the opt-out applies only to that Host.
