Who you are buying from
SoldSeat LLC, a Pennsylvania single-member limited liability company based in Harrisburg, Pennsylvania, operates the SoldSeat website and apps. SoldSeat is a technology platform and a limited payment collection agent. SoldSeat is the merchant of record for the card charge only so the payment can be processed through Stripe.
The host named on the event page is the sole organizer and the seller of the event. SoldSeat is not the organizer, promoter, venue, or performer. The event is organized by that host, not SoldSeat.
Price
The price on the event page is the price you pay. SoldSeat does not add a platform fee or card processing on top of that price. The host sets the ticket price.
Launch pricing: 0% platform fee. During launch, the host pays only card processing, about 2.9% plus $0.30 of the charge, deducted from the host’s payout. Example (for illustrative purposes only). On a $25.00 ticket, the buyer pays $25.00, the platform fee is $0.00, card processing is about $1.03, and the host receives about $23.97. Actual ticket prices are set by the host for each event.
SoldSeat may later introduce a platform fee between 5% and 9% per ticket. That fee applies only to events created after at least 30 days’ email notice. Founding hosts may receive a lower rate at SoldSeat’s discretion. Refunds, chargebacks, a $15 card-dispute fee, card processing, and any reserve stay the host’s responsibility. Card processing is usually not returned by the card network.
The ticket
A ticket is a revocable license to attend, on the host’s terms. It is not a guarantee that the event will happen as described. The QR code is what the door scans. The first successful scan admits you. A second scan does not. A refunded or void ticket will not scan in.
You may not copy, share, or resell a ticket except as the host’s event page allows. A ticket transferred or resold outside those rules can be voided without a refund. Misusing a QR code, including copying it so more people can enter than were paid for, is a breach of these terms. The host and SoldSeat may refuse entry and void the ticket.
Refunds
Refunds follow the host’s refund policy shown at checkout and on the Refund, Cancellation and Chargeback Policy. SoldSeat facilitates refunds. SoldSeat does not promise a refund the host’s policy does not provide, except where SoldSeat must reverse a payment for a chargeback, a duplicate charge, or the law.
Assumption of risk and conduct
You assume the risks of attending a live event, including crowds, sound levels, weather, and the acts of other people. You will follow the host’s and the venue’s rules. SoldSeat and the host may refuse entry or remove you for unsafe, unlawful, or disruptive conduct, and a removal for that conduct is not by itself a reason for a refund.
Limitation of liability
To the fullest extent the law allows, SoldSeat is not liable for the event, the venue, a cancellation, a lineup change, injury, or a ticket description that is wrong. SoldSeat’s total liability to you for a claim about a ticket is limited to the amount you paid SoldSeat for that ticket. SoldSeat is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits.
Disputes
These terms are governed by Pennsylvania law, without its conflict-of-law rules. Except for a claim that qualifies for small claims court, you and SoldSeat agree to binding individual arbitration administered by the American Arbitration Association under its consumer rules. The arbitration will be in Dauphin County, Pennsylvania, or by video if the rules allow.
You and SoldSeat waive any right to a class action, a class arbitration, or a representative action. A court in Dauphin County, Pennsylvania may enter judgment on the award and may hear a small claim that stays in small claims court.
